1. The service

Relay AI provides an AI assistant ("the Assistant") that a Client embeds on its website to answer questions from the Client's own knowledge base, capture inquiries/leads, and route them to the Client's systems. Relay AI is software + set-up + support; Relay AI does not provide the Client's underlying professional services.

2. AI disclosure & no professional advice

The Assistant is artificial intelligence, not a human, and discloses this. For regulated verticals (e.g., legal), the Assistant gathers information and schedules only — it does not give legal, medical, financial or other professional advice, and creates no professional/client relationship. The Client is solely responsible for the professional services it delivers and for the accuracy of the knowledge base it provides.

3. Client responsibilities

The Client will: (a) provide accurate information for the Assistant's knowledge base; (b) disclose the Assistant in the Client's own privacy policy and obtain any consents its use requires; (c) not use the Assistant for unlawful, deceptive, or high-risk uses (no medical/health-data (HIPAA), no attempts to give unlicensed advice, no minors-targeted companion use); (d) comply with laws applicable to the Client (bar rules, TCPA for any texting it enables, state privacy laws).

4. Data

Each party complies with the Data Processing Addendum (DPA), which governs personal information. Client is the business/controller; Relay AI is the service provider/processor.

5. Fees

[$X]/month per site, billed [monthly/annually]. Free trial: [14 days]. Non-payment may suspend the Assistant.

6. Acceptable use

No reverse engineering, reselling, or using the Assistant to build a competing product; no unlawful, harassing, or deceptive content; no circumventing the AI disclosure.

7. Warranties & disclaimer

The Assistant is provided "as is." AI can make mistakes; the Client reviews outputs and remains responsible for its business decisions. Relay AI disclaims implied warranties to the extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, Relay AI's total liability is limited to the fees paid in the [prior 3 months]; neither party is liable for indirect or consequential damages. (Attorney to tailor per jurisdiction.)

9. Indemnity

Client indemnifies Relay AI for claims arising from the Client's business, its knowledge-base content, or its misuse of the Assistant.

10. Term & termination

Month-to-month; either party may terminate on [30 days] notice. On termination Relay AI removes the Assistant and deletes Client data per the DPA.
